THIS AGREEMENT GOVERNS YOUR RELATIONSHIP WITH DEALHUB, AND USE OF THE PRODUCTS AND SERVICES, AS DEFINED BELOW, PROVIDED TO YOU BY DEALHUB. YOU ARE HEREBY ASKED TO ACCEPT THESE TERMS OF USE AND MAY USE THE PRODUCTS AND SERVICES AVAILABLE ON THIS SERVICE/APPLICATION ONLY ON THE CONDITION THAT YOU ACCEPT ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN.USING THIS WEBSITE INDICATES THAT YOU ACCEPT THESE TERMS. Acceptance of Terms of Use

These Terms of Use (the “Agreement” or “Terms of Use”) is a legal agreement between you, either an individual or an entity (“you” or “user”), and DealHub Ltd., (“DealHub”), regarding the Application and Services, as defined below. DealHub makes this Application and all other elements of the Application, and all Services offered by DealHub through the DealHub’s Application, available for your use subject to the terms and conditions set forth in this document. By accessing and using this Application, using any DealHub’s Services, you agree to be bound by and to accept these Terms of Use and all terms and conditions contained and/or referenced herein or any additional terms and conditions set forth on the DealHub’s website: https://dealhub.io (the “Website”) and/or the Application.

If you do NOT agree to all these Terms of Use, you should NOT use this Application. If you do NOT agree to any additional specific terms which apply to particular Content (as defined below) or to particular transactions concluded through this Application, then you should NOT use the part of the Application which contains such Content or through which such transactions may be concluded and you should NOT use such Content or conclude such transactions. Also, when you use any current or future DealHub’s products or services or visit DealHub’s or its affiliates’ websites or obtain any products or services of DealHub or any business affiliated with DealHub, whether free of charge or for payment, whether or not included in the Website and/or the Application, you will be subject to the guidelines and conditions applicable to such services or business.

These Terms of Use may be amended by DealHub at any time upon notice given through the Website and/or the Application. Please check these Terms of Use published on this Website and/or the Application regularly to ensure that you are aware of all terms governing your use of this Website and/or the Application. Also, specific terms and conditions may apply to non-user generated specific content, products, materials, services or information contained on or available through this Website and/or the Application (the “Content”) or transactions concluded through the Application. Such specific terms may be in addition to these Terms of Use or, where inconsistent with these Terms of Use such specific terms will supersede these Terms of Use only to the extent that the content or intent of such specific terms is inconsistent with these Terms of Use.

DealHub reserves the right to make changes or updates with respect to or in the Content of the Website and/or the Application or the format thereof at any time without notice. DealHub reserves the right to terminate or restrict access to the Website and/or the Application or any portion thereof for any reason whatsoever at its sole discretion.

Description of Products and Services

DealHub’s DealBox (the “Application”, and together with other DealHub’s products or services: the “Services”) lets users share confidential files by way of a secure web-based application. Essentially, the Application offers its customers an efficient, powerful, secure, and easy-to-use virtual deal room. Key features of the system include:

• all traffic between the Application and the authorized user is encrypted and highly secured;
• any document can be viewed, printed or saved in secure or original format;
• any document can be discussed between the users and/or administrators;
• bulk upload/download applications help clients to upload/download large amount of documents in one session;

Use of the Application and Services by You

You agree to use the Application only for purposes permitted by these Terms of Use as well as any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions. You agree not to access (or attempt to access) the Application and/or any of the Services by any means other than through the means that is provided by DealHub. You agree not to access or attempt to access the Application and/or Services by way of automated means and that you will not engage in any activity that interferes with or disrupts the Application and Services (or the servers and networks which are connected to the Application and Services).

DealHub will use all available, necessary and commercially reasonable means to ensure to the maximum extent possible this Application operates and Services are provided without flaws or weaknesses. However, you must agree and accept that no computer or information system is absolutely invulnerable. You agree that DealHub will not be liable to you in any way for any vulnerabilities discovered and will patch them within a reasonable time. Besides, you agree not to exploit vulnerabilities or defects in security procedures and security controls of the Application in order to cause damage to the computer or information system of DealHub, as well as of other Website and/or the Application users or to obtain an unauthorized access to the information stored in such a system/systems. Any such actions will result in violation of criminal or civil law and constitute a ground for the appropriate legal action.

You agree that should you discover any vulnerability or a defect you will immediately report such vulnerability or defect to security@dealhub.io and maintain any information regarding discovery of vulnerability or a defect in strict confidence and not disclose it to any third party.  Further, you agree:

• not to disrupt or interfere with any other user’s interaction with the Website and/or the Application, the Services, or affiliated or linked sites;
• not to upload, post, or otherwise transmit through the Application or the Services any viruses or other harmful, disruptive, or destructive files;
• not to access or attempt to access any Content or User Content, which you are not authorized to access;
• not to disrupt or interfere with the security of, or otherwise cause harm to, the Website, the Application, Services, Content, User Content, system resources, accounts, passwords, servers, or networks connected to or accessible through this Website or any affiliated or linked sites and/or the Application.

User Content

If you use the Application in accordance with these Terms of Use (i.e. become a User), you may upload data, information, material, and documents to be stored via the Application (“User Content”). Subject to these Terms of Use and applicable laws and regulations, your User Content may be used in any manner that has been authorized by you or the person assigned as the Application or Services admin in your working group for your working group. It is your sole responsibility to discuss with others in your working group and determine what limitations, if any, are placed on your use of the User Content distributed within your working group. If you obtain unauthorized access to materials created or used by others outside of your working group in conjunction with the DealHub Service, you have no right to use such materials in any way. You also acknowledge and agree that DealHub has no liability of any kind should members of your working group, other persons who you have allowed to have access to your User Content or any third party modify, destroy, corrupt, copy, or distribute your User Content.

DealHub does not own any User Content and will not monitor, edit, or disclose any information regarding you, including any User Content, without your prior permission except in accordance with these Terms of Use or Privacy policy. DealHub also does not review, inspect, edit or monitor any User Content stored by you or any other user of the Products and Services, including, without limitation, for viruses, worms, “Trojan horses” or any other similar contaminating or destructive features. DealHub reserves the right, solely upon its own discretion, to refuse, remove or disable access to User Content stored on DealHub’s servers that DealHub learns may be illegal or may violate the terms of these Terms of Use, although it has no obligation to do so.

You are solely responsible for protecting the information on your computer or your other devices for example, by installing anti-virus software, updating your applications, password protecting your files, and not permitting third party access to your computer. You understand that the DealHub’s Services store User Content that is no longer usable due to corruption from viruses, software malfunctions or other causes. This might result in you sending/protecting files that are no longer usable.
